1. Object
These general terms and conditions of sale (hereinafter the GTC) are concluded between the customer, whether individual or professional, natural or legal person, wishing to make a purchase on the sites and pages of the domain name marking-moderne.fr (hereinafter referred to as the BUYER), and the company Marquage Moderne, SASU with capital of 200 euros, registered with the Clermont-Ferrand Trade and Companies Register under SIREN number 000 (hereinafter the SELLER).
These General Terms and Conditions define the contractual relationship between the SELLER and the BUYER and the conditions applicable to any purchase or quote made. Any order implies unreserved acceptance of these General Terms and Conditions.
2) Terms of placing an order
2.1 Purchase of a product or service on the SITE
The BUYER places an order directly on the SELLER's website after having validated the T&Cs. Any order placed online is firm and final after payment validation.
2.2 Purchase based on a quote
For custom-made products, the BUYER may request a quote. The order will be validated upon receipt of the quote signed by the BUYER, with or without a deposit according to the terms indicated on the quote.
3) Product availability
Products and services are available subject to availability. In the event of unavailability, the BUYER will be informed promptly and may opt for a refund or a revision of the order.
4) Price
Prices are quoted in euros excluding taxes (excluding VAT). The SELLER reserves the right to modify its prices at any time. The applicable prices are those in effect at the time of the order or the signing of the quote.
5) Characteristics of the Goods and Services offered
5.1 Manufacturing tolerances
Custom-made products are subject to manufacturing tolerances defined in the technical specifications available upon request.
5.2 Customized products
Marquage Moderne offers to manufacture custom products. The BUYER is required to provide an execution plan and all precise, complete and reliable information concerning its needs, in the form of technical drawings indicating the materials to be used, surface treatments, tolerances and dimensions.
Otherwise, Marquage Moderne will establish execution plans based on the elements provided by the PURCHASER, for which the latter remains solely responsible.
A quote, accompanied by the execution plan(s), will then be sent to the BUYER. Acceptance of the documents (quote and execution plan) constitutes confirmation of the order and triggers the production of a prototype and/or sample.
After validation by the BUYER of the prototype or sample, a pre-series will be produced. Once this pre-series has been validated by both parties, production of the final order will be launched.
Marquage Moderne cannot be held responsible for the consequences of an omission or error in the elements provided by the BUYER or for use not specified in the request.
The BUYER guarantees that it holds all intellectual property rights relating to the trademarks, designs, logos or other elements provided to Marquage Moderne to make the custom product. The BUYER undertakes to guarantee Marquage Moderne, without limit, from any action brought by a third party, including all defense and procedural costs.
Custom-made products cannot be exchanged or returned.
6) Modification, Exchange, Cancellation
Any request for modification or cancellation must be made in writing. The SELLER reserves the right to refuse any modification or cancellation after the start of production.
7) Payment terms
Payments can be made by bank transfer, credit card, or any other method specified on the SITE. Payment terms are 30 days from the end of the month for professionals, unless otherwise specified.
8) Transport and logistics
Shipping costs are the responsibility of the BUYER, unless otherwise stated. The SELLER cannot be held responsible for damage or delays related to shipping.
9) Complaints
Any product-related claim must be made within 10 days of receipt. After this period, no claim will be considered.
10) Default of payment
In the event of non-payment on the due date, late payment penalties will be applied at the current legal rate. A fixed compensation of 40 euros for recovery costs will also be due.
11) Reserve de propriété
The SELLER retains ownership of the products until full payment of the invoice by the BUYER.
12) Jurisdiction and applicable law
In the event of a dispute, the Commercial Court of Clermont-Ferrand shall have sole jurisdiction. These General Terms and Conditions are subject to French law.
13) Protection of personal data
The collected data is processed in accordance with the GDPR. The BUYER has the right to access, rectify, and delete their data.
14) Management of access codes
The BUYER is responsible for maintaining the confidentiality of their access codes on the SITE. Any order placed using these codes is deemed to have come from the BUYER.
15) Quantitative clause
For custom products, a minimum quantity may be required.
